1. Acceptance of Terms
By accessing or using the services of Unclaimed Financial, Inc. dba Sparrow (“Sparrow,” “we,” or “our”), you (”you,” “your,” Claimant,” or “User”) agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, you must immediately cease using Sparrow’s services.
2. Services Provided
Services: Sparrow provides services to help claimants recover unclaimed property from relevant state authorities. These services are provided on a contingent fee basis as detailed in separate finder's agreements (“Finder's Agreement”) with each Claimant. Sparrow reserves the right to reject or decline servicing any claim submission in its sole and absolute discretion.
Future Claims Authorization: You authorize Sparrow to assist with the recovery of any unclaimed property that may be reported under your name or associated identifiers in the future. Sparrow may contact you and initiate recovery efforts for such future property unless you notify us in writing to revoke this authorization. This authorization may be subject to additional agreements or limitations imposed by state law.
Electronic Records and Signatures: You consent to the use of electronic records and signatures in connection with these Terms of Service, the services and related documents.
3. Disclaimers and Limitation of Liability
No Warranty: Sparrow does not warrant or guarantee the recovery of any unclaimed property. We make no representation regarding the likelihood of success in any specific claim.
Evolving Laws: The laws governing unclaimed property recovery are subject to change. Sparrow makes no representation that its services comply with any specific state laws at any given time. All applicable state and federal laws, as they evolve, apply to each individual claim and claimant. It is the Claimant’s responsibility to ensure that they comply with these laws, including but not limited to lawfully being able to make a claim for property.
Liability Disclaimer: To the fullest extent permitted by law, Sparrow disclaims any and all liability for claims arising from the use of services and the recovery of unclaimed property. This includes, but is not limited to, errors in processing, delays, or issues related to any state-specific requirements. Sparrow will not be liable for any loss or damage arising from the use of, or inability to use, the services or the failure of Sparrow to recover any property.
4. Finder’s Fees
Fee Structure: Claimants will be subject to a fee for Sparrow’s services, which will be outlined in the Finder's Agreement between Sparrow and the Claimant. Fees are generally based on a percentage of the recovered property, which is contingent upon successful recovery.
Fee Cap: Sparrow’s fees are capped in accordance with the laws of the state in which the claim is being pursued. The applicable fee cap will be disclosed to the Claimant in the Finder’s Agreement.
Late Fees: A late fee of the greater of (i) 2% per month and (ii) the maximum interest rate permitted by applicable law will apply if any outstanding balances are not paid on time.
Test Charge: Upon account setup, a test charge not to exceed $3.00 may be processed to verify your linked payment method. The charge will be promptly returned to you.
Claim Approval: Once your claim is approved, you authorize Sparrow to debit your linked payment method for the amount due, including any applicable fees.
Payment Collection: Sparrow will make commercially reasonable efforts to collect any outstanding payments. This may include repeated attempts to charge the linked card and, if necessary, issuing an invoice for the outstanding balance. Failure to process a payment successfully does not relieve you of your obligation to pay the full amount due. Claimant agrees to pay all collection costs, including reasonable attorney’s fees and expenses incurred by Sparrow in connection with enforcement of its payment rights.
5. Compliance with Applicable Laws
Claimants agree to comply with all applicable federal, state, and local laws and regulations regarding the recovery of unclaimed property. Sparrow makes no guarantee of compliance with the specific requirements of any state or jurisdiction at any given time, and it is the Claimant’s responsibility to ensure they are in full compliance with all applicable laws. The Claimant acknowledges that any fees and terms agreed to under the Finder’s Agreement will be subject to applicable legal limits and requirements.
6. Privacy and Data Security
Sparrow is committed to protecting the privacy of Claimants’ personal information. Our Privacy Policy, available on our website, governs the collection, use, and protection of your personal information. By using our services, you consent to the terms of our Privacy Policy.
By providing your phone number, you consent to receive phone calls and text messages from Sparrow, including pre-recorded or automated calls, for updates about your claim and property, requests for additional information, or status change. These messages are necessary for claim servicing. Standard message and data rates may apply. You may opt out at any time by replying “STOP,” but doing say may limit our ability to assist with your claim.
7. Ownership of Content
Intellectual Property: All intellectual property rights in and to Sparrow’s services, website, content, and any related materials are the property of Sparrow. No rights, titles, or interests in any content are granted to you other than as necessary to use the services as provided under these Terms of Service.
License to Use: Sparrow grants you a limited, non-exclusive, non-transferable license to access and use the services for personal or business use, solely in accordance with the terms of these Terms of Service.
8. Indemnification
Claimants agree to indemnify, defend, and hold Sparrow, its officers, employees, agents, affiliates, and partners harmless from any and all third-party claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees and expenses) arising from:
- Your violation of any term of these Terms of Service or your Finder’s Agreement,
- Your breach of applicable laws or regulations, and
- Any false or inaccurate information provided by you during the recovery process.
9. Data Enrichment and Additional Opportunities
Data Providers: Sparrow is authorized to use third-party data providers to enrich and validate your information.
Additional Opportunities: You consent to the use of your information to assess and identify further financial opportunities for you, including additional cases of lost funds recovery. Sparrow will ensure that all such practices comply with applicable consumer protection and data privacy laws.
10. Use of Services
Prohibited Activities: You agree not to engage in any activities that:
- Violate any applicable laws or regulations,
- Cause harm to other users or interfere with the operation of Sparrow’s services,
- Involve fraud, misrepresentation, or the submission of false claims.
Accountability for False Claims: Sparrow reserves the right to terminate any claim for which inaccurate or misleading information is found to have been submitted. You agree to be solely responsible for ensuring the accuracy of all information you provide.
11. Third-Party Links and Services
Sparrow’s services may include links to third-party websites, services, or resources. These third-party services are provided for convenience and are not under the control of Sparrow. Sparrow does not endorse, approve, or guarantee the accuracy, or availability of any third-party services or content.
Users are solely responsible for engaging with third-party services and should address any issues, disputes, or concerns directly with the third-party provider. Sparrow is not responsible for any damages or losses arising from the use of third-party websites, services or resources.
12. Termination
Sparrow reserves the right to terminate or suspend access to its services at any time, without notice, for any reason, including but not limited to a breach of these Terms of Service or if it is determined that a Claimant is in violation of any applicable law.
13. Dispute Resolution
Any disputes arising out of or related to these Terms of Service or the services provided by Sparrow shall be resolved through binding arbitration, in accordance with the rules of the American Arbitration Association in accordance with its Commercial Arbitration Rules then in effect. Except as otherwise agreed between the parties in writing, the arbitration will take place in New York, NY. The decision of the arbitrator shall be final and binding.
Jury Trial Waiver: The parties expressly waive any right to a jury trial in any legal action or proceeding related to the services provided by Sparrow. Instead, any such disputes shall be resolved exclusively through the binding arbitration set forth above.
Class Action Waiver: The parties agree that any dispute, claim, or controversy shall be resolved on an individual basis, and neither party may join or participate in any class action, class-wide arbitration, or collective action. Claims brought by one party cannot be consolidated with those of any other party, and the arbitrator has no authority to hear or resolve any claims as a class action or collective action. The parties waive any right to participate in or receive any benefit from a class action.
14. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflicts of law principles that would apply the laws of any other jurisdiction.
15. Severability
If any provision of these Terms of Service is held to be illegal, invalid, or unenforceable under applicable law, the remainder of these Terms of Service will remain in full force and effect, and the invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it enforceable.
16. Force Majeure
Sparrow will not be held liable for any delay or failure in performance under these Terms of Service or the services it provides to any User if the delay or failure is caused by events beyond its reasonable control, including but not limited to acts of God, fire, flood, pandemics, war, terrorism, or government restrictions.
17. Modification of Terms
Sparrow reserves the right to modify these Terms of Service at any time. Any changes to these terms will be posted on our website with an updated “Effective Date.” Your continued use of our services following any such changes constitutes acceptance of those changes.
18. Integration
These Terms of Service, together with our Privacy Policy and the terms set forth in any executed Finder's Agreement between you and Sparrow, constitute the entire agreement between you and Sparrow regarding your use of our services.
19. No Waiver
The failure by Sparrow to enforce any provision of these Terms of Service shall not be construed as a waiver of such provision or the right to enforce it later. Any such waiver must occur in writing by a duly authorized representative of Sparrow.
